1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CoConstruct AI Ventures ("Company," "we," "us," or "our") governing your access to and use of the website located at cocanstructai.com, including all content, functionality, and services offered on or through the Site (collectively, the "Site").

By accessing or using the Site, submitting information through any form on the Site, or otherwise engaging with the Site in any way, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. About CoConstruct AI Ventures

CoConstruct AI Ventures is a seed-stage venture capital firm that invests in companies developing artificial intelligence applications for the construction technology industry. The Site serves as an informational and communication resource for founders, investors, industry professionals, and other interested parties to learn about our firm, our investment focus, and our portfolio.

Nothing on this Site constitutes an offer or solicitation of an offer to buy or sell any securities or investment product, nor does it constitute an offer to provide investment management, advisory, or other investment services. Investment offerings by CoConstruct AI Ventures are made only through separately delivered offering documents to qualified investors in accordance with applicable securities laws.

3. Use of the Site

3.1 Permitted Use

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100).

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois, and you hereby consent to personal jurisdiction in those courts.

Notwithstanding the foregoing, CoConstruct AI Ventures reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or other proprietary rights.

13. Prohibited Uses

You agree not to use the Site in any way that:

• Violates any applicable federal, state, local, or international law or regulation
• Infringes or misappropriates the intellectual property rights of any person
• Transmits any unsolicited commercial communications, spam, or bulk email
• Introduces viruses, malware, or other malicious code into the Site
• Attempts to gain unauthorized access to any portion of the Site, other accounts, or computer systems connected to the Site
• Impersonates CoConstruct AI Ventures, any of our employees, or any other person or entity
• Harvests or collects email addresses or other contact information from the Site
• Uses the Site to conduct any activity that constitutes securities fraud, market manipulation, or other violation of securities laws
• Engages in any conduct that restricts or inhibits anyone's use or enjoyment of the Site

14. Termination

We reserve the right to terminate or restrict your access to the Site at any time, for any reason, without notice or liability to you. Upon termination, all rights granted to you under these Terms will immediately cease, and you must stop all use of the Site.

Sections of these Terms that by their nature should survive termination (including Sections 4, 6, 7, 10, 11, 12, and 16) will continue in full force and effect after any termination.

15. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we may provide additional notice on the Site. Your continued use of the Site following any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to any modification, your sole remedy is to discontinue your use of the Site.

16. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CoConstruct AI Ventures regarding your use of the Site and supersede all prior and contemporaneous understandings regarding the same subject matter.

Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision. No waiver by CoConstruct AI Ventures of any breach of these Terms shall be a waiver of any preceding or succeeding breach.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent in connection with a merger, acquisition, or sale of all or substantially all of our assets.

No Third-Party Beneficiaries. These Terms are for the sole benefit of you and CoConstruct AI Ventures and do not create any third-party beneficiary rights.
